1. Acceptance of Terms

By accessing or using the Attaché AI web application and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Attaché AI ("Attaché," "we," "our," or "us"). We may update these Terms from time to time — continued use of the Service after changes constitutes acceptance.

2. Description of Service

Attaché is an AI-powered email outreach and inbox management platform. The Service allows you to:

  • Connect your Google account(s) to access Gmail for inbox triage and email sending.
  • Import prospect data from Google Sheets.
  • Use AI agents to research prospects and generate personalized email drafts.
  • Schedule and send outreach emails across connected email accounts.
  • Receive AI-powered email classification and suggested responses.

3. Account & Access

3.1 Registration

You must sign in with a valid Google account to use the Service. You are responsible for maintaining the security of your Google account credentials and for all activities that occur under your account.

3.2 Google API Authorization

By using the Service, you grant Attaché permission to access your Gmail and Google Sheets data through Google's OAuth 2.0 authorization flow. You can revoke this access at any time through your Google Account permissions.

3.3 Account Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement.

4. Acceptable Use

You agree not to use the Service to:

  • Send unsolicited bulk email (spam) in violation of applicable anti-spam laws, including the CAN-SPAM Act, GDPR, and CASL.
  • Impersonate another person or entity.
  • Send emails containing malware, phishing links, or fraudulent content.
  • Harvest or collect email addresses or personal data without proper consent.
  • Violate any applicable local, state, national, or international law or regulation.
  • Interfere with or disrupt the Service's infrastructure or other users' access.
  • Attempt to reverse-engineer, decompile, or extract source code from the Service.
  • Use the Service to send content that is hateful, harassing, defamatory, or threatening.

We reserve the right to suspend or terminate your access if we determine, in our sole discretion, that you have violated these acceptable use terms.

5. AI-Generated Content

The Service uses AI models (Google Gemini) to generate email drafts, classifications, and suggestions. You acknowledge and agree that:

  • No Guarantee of Accuracy: AI-generated content may contain errors, inaccuracies, or inappropriate suggestions. You are solely responsible for reviewing and approving all content before sending.
  • Your Responsibility: You bear full responsibility for all emails sent through the Service, including AI-generated drafts. Attaché is not liable for any consequences arising from emails you choose to send.
  • No Professional Advice: AI-generated content does not constitute legal, financial, medical, or professional advice of any kind.

6. Email Deliverability

Attaché does not guarantee email deliverability. Email delivery depends on many factors outside our control, including recipient email provider policies, spam filters, sender reputation, and email content. You are responsible for maintaining a good sender reputation and complying with email best practices.

7. Intellectual Property

7.1 Our IP

The Service, including its design, features, code, and branding, is owned by Attaché AI and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written consent.

7.2 Your Content

You retain all rights to the content you provide (prospect lists, email drafts, custom instructions). By using the Service, you grant us a limited license to process this content solely for the purpose of providing the Service to you.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described therein.

9. Service Availability & Modifications

We strive to maintain the Service's availability but do not guarantee uninterrupted or error-free operation. We reserve the right to:

  • Modify, suspend, or discontinue any part of the Service at any time with or without notice.
  • Perform scheduled and unscheduled maintenance.
  • Update features, pricing, or usage limits.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATTACHÉ AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Indemnification

You agree to indemnify, defend, and hold harmless Attaché AI and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service.
  • Emails you send through or in connection with the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property or privacy rights.

13. Termination

You may stop using the Service and revoke Google account access at any time. We may suspend or terminate your access if you violate these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and intellectual property) will survive.

14. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you qualify for small claims court.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Attaché AI regarding the Service and supersede all prior agreements and understandings.
